The Service provided by the Company allows users to access a custom b2b Ordering system on a rental/membership basis, with monthly subscription payments. Upon subscription, the client agrees to a minimum commitment period of one year, after which the subscription will continue on a rolling monthly basis until terminated as outlined below. The Company will make reasonable efforts to ensure the proper functioning of the Service, but we do not guarantee uninterrupted or error-free operation.
4. Limitation of Liability
a. The Company shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of the use or inability to use the Service.
b. In no event shall the Company be liable for any damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of the use or inability to use the Service, even if the Company has been advised of the possibility of such damages.
5. Indemnification
You agree to indemnify and hold the Company harmless from any claims, damages, liabilities, costs, or expenses (including legal fees) arising out of or related to your use of the Service, your violation of these terms and conditions, or your violation of any rights of another party.

11. Subscription Termination
a. Subscribers may terminate their subscription at any time and termination will take place at the end of the current subscription month.
b. Upon termination of the subscription, the subscriber will no longer have access to the Service and any outstanding subscription fees shall remain due and payable.
12. Refunds
a. No refunds will be provided for subscription fees already paid, except as required by applicable law.
b. In the event of termination, the subscriber will remain responsible for any outstanding subscription fees owed up to the effective termination date.
